Supplier Code of Conduct Policy
1. Introduction
Cheng Xin ShipManagement Pte. Ltd. (the “Company”) is committed to conducting business in an ethical and responsible manner and expects the same high standards from Suppliers. This policy is designed to establish a transparent framework that governs supplier engagement, upholding Company’s ethical business practices by aligning with the commitment to maintain highest standards of ethics, safety, laws and regulatory compliance, integrity, fairness and transparency.
For this Policy, “Supplier” refers to any entity providing goods, services and project work to the Company, including those identified as Vendors, Service Providers, Contractors and similar roles.
2. Scope
This Supplier Code of Conduct Policy outlines the minimum standards and expectations the Company has for each Supplier. Compliance with this Policy is mandatory for all Suppliers, and adherence to these standards is a prerequisite for conducting business with the Company.
3. Legal Compliance
Suppliers must adhere to all applicable national and international laws and regulations, including those related to workplace health and safety, environmental protection, bribery and corruption, sanctions, money laundering, terrorist financing, and confidentiality and data protection.
Suppliers shall not engage in any business activities that violate trade sanctions and any direct / indirect dealings involving money laundering and terrorist financing. This includes but is not limited to, conducting transactions with individuals, entities, or countries subject to trade sanctions and relating to money laundering and terrorist financing.
4. Ethical Business Practices
The Company is committed to conducting business in an ethical and responsible manner and expects same high standards from Suppliers. Suppliers must adhere to ethical business practices that uphold following:
- Health, Safety, and Environment (HSE)
- Human Rights
- Anti-Bribery and Corruption
- Confidentiality and Data Protection
Through above, besides enhancing the welfare of individuals and communities, Suppliers also play a crucial role in protecting the environment and fostering responsible business conduct.
5. Health, Safety, and Environment (HSE)
The Company is committed to safeguard the health of the personnel, ensure safety and quality, protect the environment, and expects the same high standards from Suppliers.
Suppliers must foster a safe work culture and ensure to deliver a safe work environment that promotes the health, well-being and dignity of an inclusive workforce.
Suppliers shall instil a proactive culture of risk prevention and mitigation, strengthen organizational capabilities to respond effectively to emergencies, and commit to continuous improvement in health and safety practices. Suppliers are also expected to prioritise environmental responsibility by implementing measures to actively mitigate any negative impacts on the environment.
Suppliers are expected to meet or exceed all relevant legislation, standards, codes of practice, and regulatory requirements related to HSE risks, and take necessary actions within their authority to uphold these standards.
6. Human Rights
The Company is dedicated to foster a work environment free from harassment, discrimination, or abuse, and treats all individuals fairly with respect and dignity regardless of race, gender, religion and background.
Suppliers are expected to uphold the same commitment to work towards creating and sustaining a working environment where all workers and stakeholders are treated with dignity and respect and which is diverse, equitable and inclusive. This includes providing fair and equal opportunities, wages, and benefits, and prohibiting any form of discrimination, harassment, abuse, or violence based on race, colour, gender, age, religion, national origin, disability, sexual orientation, political beliefs, or any other protected characteristic. Suppliers must ensure a safe and healthy work environment and supply chain, free from physical and mental harm.
7. Anti-Bribery and Corruption
The Company is committed to conducting business with integrity, transparency, and fairness and expects the same commitment from Suppliers.
Suppliers must not engage in any form of bribery, corruption, facilitation payments, or unethical inducements. Such practices undermine fair competition and may compromise the integrity of the Company’s decision-making processes. All business activities must be conducted transparently and in accordance with applicable laws and ethical standards.
Bribery and corruption refer to any attempt to improperly influence the performance of duties or to abuse authority for personal benefit. Any suspected or actual instances of such conduct must be reported without delay, in accordance with the Company’s Whistleblower Policy, and Suppliers should likewise provide mechanisms for their workforce to report incidents, including misconduct or violations, and ensure these reports are addressed promptly and without fear of retribution.
8. Confidentiality and Data Protection
Suppliers must safeguard the Company’s proprietary and confidential information and always adhere to applicable data protection legislation. All confidential information shall not be disclosed or used by the Suppliers except as required in the performance of their respective obligations under contract or commitment and only with the Company’s prior written consent, or to comply with any legal duty.
Also, Suppliers must ensure their best efforts are taken to maintain the confidentiality by implementing measures to prevent information leakage and comply with any reasonable requests from the Company regarding its protection. Suppliers are expected to timely report any suspicious or malicious activities that may compromise the security of the Company’s information. Upholding these principles ensures the integrity and security of sensitive data, fostering a relationship built on trust and reliability.
9.Governance and Enforcement
The Company upholds highest ethical standards when conducting business and expects Suppliers to maintain these standards across all aspects of their operations. The Company maintains a strict zero-tolerance stance towards bribery, corruption, and facilitation payments. Clear and accessible channels are in place for reporting any misconduct or violations, reinforcing the commitment to transparency and accountability in all aspects of our business. Suppliers are expected to uphold the same high standards of ethical conduct, fair competition, and integrity outlined in this Supplier Code of Conduct Policy. This includes actively adopting and promoting these principles within their own operations and encouraging their subcontractors to do likewise.
If a breach of this Policy is identified, the supplier may be temporarily blocked or permanently blacklisted at the sole discretion of the Company, which may include the possibility of Contract termination, subject to the level of breach, with all Company’s rights for indemnity reserved.
When a violation of this Policy is suspected or identified, the Company shall initiate a thorough investigation into the matter. Suppliers are expected to fully cooperate throughout the process, including providing unrestricted access to relevant information upon request. Should a breach be confirmed, the Company reserves the right to take appropriate action, which may include temporary suspension, permanent blacklisting, or termination of the contract, depending on the severity of the violation.
